1. AGREEMENT TO TERMS AND END-USER LICENSE AGREEMENT (EULA)

By accessing and using the Baroow mobile application and associated services (collectively, the “App”), you confirm that you have read, understood, and agree to be bound by these Terms & Conditions, including the End-User License Agreement (EULA). If you do not agree with any part of these Terms or the EULA, you must discontinue use of the App immediately. Continued use of the App constitutes acceptance of any updates to these Terms or the EULA.

2. ZERO TOLERANCE POLICY

Baroow enforces a strict Zero Tolerance Policy for objectionable content and abusive behavior. Any violation of these rules will result in immediate account suspension or a permanent ban.

2.1 Prohibited Content and Behavior

The following content and behaviors are absolutely prohibited on Baroow:

Objectionable Content
• Any content that is offensive, inappropriate, vulgar, obscene, or sexually explicit
• Pornographic, sexually suggestive, or adult-oriented material
• Content that promotes violence or contains graphic imagery
• Material that is disturbing, shocking, or deliberately offensive

Harassment and Abuse
• Bullying, threatening, intimidating, or harassing other users
• Stalking, persistent unwanted contact, or doxxing
• Verbal abuse, insults, or personal attacks
• Creating multiple accounts to circumvent blocks

Hate Speech and Discrimination
• Content that promotes hatred, discrimination, or violence against individuals or groups
• Racist, sexist, homophobic, or otherwise discriminatory language
• Targeting individuals based on race, religion, gender, sexual orientation, or other protected characteristic

Fraudulent Activity
• Scams, fake listings, or misleading information
• Identity theft or impersonation of others
• Fraudulent transactions or payment schemes
• False advertising or deceptive business practices

Illegal Content
• Content that violates local, national, or international laws
• Sale of illegal goods or services
• Copyright infringement or other intellectual property theft
• Content promoting illegal activities

Spam and Malicious Content
• Unsolicited messages or advertisements
• Malware, viruses, or harmful links
• Phishing attempts or social engineering
• Disruptive or repetitive content

2.2 User Safety and Blocking System

To protect every user, Baroow provides the following tools:

User Blocking Features
• Block any user to prevent them from contacting or messaging you
• Blocked users cannot start new conversations with you
• Blocked conversations are hidden from your message list
• Blocking can be done from any chat interface
• Users can unblock others at any time

2.3 Reporting System

In-app reporting for inappropriate content, listings, or user behavior

Anonymous reporting options available

Immediate escalation of serious violations

2.4 Content Moderation

Automated filtering systems detect prohibited content in real time

Human moderators review all reported content and listings

Regular audits of listings, messages, and user activity

Machine learning algorithms to identify patterns of abuse

2.5 Consequences of Violations

Any breach of this Zero Tolerance Policy will result in immediate action:

Immediate Consequences
• Content Removal: Instant deletion of violating content
• Account Suspension: Temporary suspension of your account
• Permanent Ban: Lifetime prohibition from using Baroow services
• Legal Action: Reporting to authorities when applicable
• No Appeals: Decisions regarding serious violations are final

Escalation Process
• First violation: Warning and content removal
• Serious violations: Immediate account suspension
• Repeated violations: Permanent account ban
• Criminal activity: Immediate reporting to law enforcement

3. ELIGIBILITY

The App is intended for users aged 16 and older. By using the App, you represent and warrant that you meet this age requirement. If you are under 16, do not use the App.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Registration
You must register for an account to access the App’s full features, including but not limited to:

Posting marketplace listings
Completing transactions and payments
Scheduling appointments
Placing orders
Viewing personal transaction history
Registration requires a verified email address. After verifying, you will be prompted to complete your profile with additional information (phone number, gender, date of birth, address, profile picture).

4.2 Account Security
You are responsible for safeguarding your account credentials and all account activity. Notify Baroow immediately if you detect any unauthorized use or security breach. Baroow will not be liable for any loss or damage arising from your failure to keep your account secure.

5. APP SERVICES

Baroow offers the following services through the App:

Marketplace Listings
• Users can create, edit, or delete listings in various categories (Classified Listings, Properties, Car Rental, Home Services, Events & Tours, Jobs, Courier Services). Baroow does not guarantee the accuracy or reliability of any user-generated listing.

Food Ordering
• Browse, order, and arrange delivery or pickup from partnered restaurants and delivery providers.

Healthcare
• Schedule medical appointments with healthcare providers. Baroow does not offer medical advice or treatment; all medical decisions are made between you and the provider.

Bill Payments
• Pay bills (utilities, telecom, etc.) via secure third-party payment processors.

Taxi Ordering
• Request taxi or ride-share services from partnered transportation providers.

Groceries
• Order groceries for delivery or pickup from partnered supermarkets and stores.

Courier Services
• Access last-mile courier services through partnered providers.

6. USER CONTENT

6.1 User-Generated Content
You may submit text, images, listings, reviews, and other content (“User Content”) via the App. By submitting any User Content, you affirm and warrant that:
You own or have all necessary rights to grant Baroow the license below.
Your content complies with these Terms, including the Zero Tolerance Policy.
Your content does not infringe any third party’s rights (intellectual property, privacy, publicity, etc.).

6.2 License to User Content
You grant Baroow (and its affiliates, licensees, and successors) a perpetual, irrevocable, royalty-free, worldwide license to use, modify, reproduce, distribute, perform, display, and otherwise exploit your User Content in connection with operating, promoting, and improving the App, in any media formats and through any channels. You also waive any moral rights you may have in that content.

6.3 Monitoring and Enforcement
Baroow reserves the right (but has no obligation) to monitor, review, remove, or refuse any User Content at any time, for any reason, without notice. We may also:

Disclose your identity if required by law or court order

Pursue legal remedies for unauthorized or unlawful use of the App

7. PAYMENTS AND FEES

7.1 Payment Methods
All payments for services (marketplace transactions, food orders, bill payments, etc.) are processed by trusted third-party payment processors (e.g., Stripe). By making any payment, you agree to their Terms of Service and Privacy Policy. Baroow does not directly process or store your payment credentials.

7.2 Service Fees
Fees for certain services (e.g., marketplace transaction fees, delivery charges, convenience fees) will be displayed to you before you confirm any transaction. Baroow reserves the right to modify fee structures at any time; any changes will be effective upon posting.

7.3 Refund Policies
Marketplace Transactions: Refunds are managed between buyers and sellers per our dispute resolution process.

Food Ordering: Refund requests must be submitted within 24 hours of delivery or pickup.

Healthcare: Cancellation and refund policies vary by provider; please review each provider’s terms.

Bill Payments: Refund requests must be submitted within 24 hours of transaction; otherwise, normal billing cycles apply.

Taxi Ordering: Cancellation fees may apply as per partner policies.

Groceries: Report incorrect, missing, or damaged items within 24 hours of delivery for a refund or replacement.

8. PROHIBITED ACTIVITIES

In addition to the categories listed in Section 2 (Zero Tolerance Policy), you agree not to engage in any of the following activities:

Unauthorized scraping, mining, or harvesting of App data or user information
Reverse engineering, decompiling, or disassembling any portion of the App or underlying software
Posting advertisements, solicitations, or promotional materials without Baroow’s prior written consent
Impersonating any person or entity, or misrepresenting your affiliation with any person or entity
Introducing viruses, worms, trojans, logic bombs, or other malicious code that disrupts or compromises the App’s functionality
Attempting to gain unauthorized access to any portion of the App or any network or system connected to the App
Violating any of these rules may result in immediate account suspension or permanent ban in addition to any other remedies available to Baroow under law.

9. INTELLECTUAL PROPERTY RIGHTS

All content, trademarks, service marks, logos, software, and other materials (“Baroow IP”) displayed or used within the App are owned by Baroow or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Baroow grants you a limited, non-exclusive, non-transferable, revocable license to use the Baroow IP solely for your personal, non-commercial use in connection with accessing and using the App.

Any unauthorized use of the Baroow IP or other content on the App is strictly prohibited and may violate intellectual property laws.

10. THIRD-PARTY WEBSITES AND CONTENT

The App may contain links to third-party websites, services, or resources that are not owned or controlled by Baroow. Baroow does not endorse or take responsibility for the accuracy, completeness, or legality of content on such external sites. Your use of any linked third-party website is at your own risk and subject to that website’s own terms and privacy practices.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAROOW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Baroow’s total aggregate liability to you for all claims under these Terms exceed the amount of any fees you have paid to Baroow in the three (3) months preceding the event giving rise to liability, or USD 100 (whichever is greater).

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Baroow and its affiliates, officers, directors, employees, agents, and partners (collectively, “Indemnitees”) from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including reasonable attorneys’ fees) arising from or related to:

Your breach of any provision of these Terms or the EULA;

Your User Content or any content you post on or through the App;

Your violation of any applicable law, regulation, or third-party right (intellectual property, privacy, publicity, etc.);

Your use of the App in a manner that violates these Terms or any applicable law;

Any dispute between you and another user of the App.

Baroow reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with Baroow’s defense of such claims.

13. TERM AND TERMINATION

13.1 Term
These Terms remain in full force and effect while you use the App.

13.2 Termination by Baroow
Baroow may, at its sole discretion, suspend or terminate your account or access to the App at any time, with or without notice or liability, for any reason, including, without limitation, if you breach these Terms.

13.3 Termination by You
You may terminate your account at any time by deleting it via the App (Profile > Account Settings > Delete Account). Upon termination, your data will be deleted or anonymized within 30 days, unless retention is required by law.

13.4 Survival
Upon termination, any provisions that by their nature should survive (e.g., indemnification, limitation of liability, intellectual property, dispute resolution, governing law, and any provisions intended to survive) will survive.

14. DISPUTE RESOLUTION

14.1 Informal Negotiations
Before initiating arbitration or litigation, both you and Baroow agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through informal negotiation for at least thirty (30) days after written notice.

14.2 Binding Arbitration
If informal negotiations fail, any dispute, claim, or controversy arising out of or relating to these Terms shall be settled by binding arbitration in Barbados, under the Barbados Arbitration Act. The arbitration will be conducted by a single, neutral arbitrator, whose award shall be final and binding. Judgment on the award may be entered in any court having jurisdiction.

14.3 Restrictions
Arbitration shall proceed on an individual basis; neither you nor Baroow may bring a representative action, class action, or consolidated arbitration without the prior written consent of the other party.

15. GOVERNING LAW

Company Registration and Jurisdiction. Baroow is a company registered in the United Arab Emirates (UAE) and currently operates in Barbados, St. Lucia, and St. Vincent & the Grenadines, with planned expansion to other Caribbean countries. The App and these Terms are governed primarily by the laws of Barbados; however, certain operational aspects—particularly those related to company registration, data processing, or payment transactions—may also be subject to the laws of the UAE and/or the specific jurisdiction in which you reside.

These Terms and any disputes arising out of or related to these Terms are governed by and construed in accordance with the laws of Barbados, without regard to conflict-of-law principles. However, certain aspects of App operations (e.g., data processing, company registration) may also be subject to UAE law and/or the laws of other jurisdictions where services are offered.

16. SEVERABILITY

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely matches the original intent, to the maximum extent permitted by law.

17. ENTIRE AGREEMENT

These Terms, together with the End-User License Agreement (EULA) and our Privacy Policy, constitute the entire agreement between you and Baroow regarding your use of the App, superseding all prior or contemporaneous agreements, proposals, or communications, whether written or oral.

18. CHANGES TO TERMS

Baroow reserves the right to modify these Terms at any time. We will post the “Last Updated” date at the top of these Terms to indicate when changes were made. You are responsible for reviewing these Terms periodically; your continued use of the App after any changes indicates acceptance of those changes.
